Terms and Conditions of Sale

1. General Provisions

Extrema Ratio S.R.L., VAT number 02481870976, REA registration number (Prato) 539881, having its registered office at Via Traversa delle Ripalte, 72/74/76/78, Prato (hereinafter referred to as "Extrema Ratio"), provides its customers with the possibility to purchase Extrema Ratio products as well as a range of services. These general terms and conditions of sale are governed by the Italian Consumer Code (Legislative Decree No. 206/2005, as amended) and by the regulations governing electronic commerce (Legislative Decree No. 70/2003, as amended). In the event of amendments to these General Terms and Conditions, the purchase order shall be governed by the General Terms and Conditions published on the Website at the time the Order is submitted by the Customer.

2. How to Order

Orders may be submitted via email by contacting us at [email protected], or through our online order system on our website www.extremaratio.mom. Received orders may only be cancelled upon a timely written request, which Extrema Ratio reserves the right to accept. Orders that are already in the preparation phase cannot be cancelled. In any event, the Customer’s right of withdrawal pursuant to Article 7 below remains unaffected. The contract between Extrema Ratio and the Customer shall be deemed concluded upon acceptance, whether total or partial, of the order by Extrema Ratio. By placing an order through any of the available methods, the Customer declares to have reviewed all instructions provided during the purchase procedure and to fully accept these commercial terms. The purchase of products is restricted to adults: by submitting an order, the Customer declares to be at least 18 years of age.

3. Pricing

The prices displayed in the Extrema Ratio online catalogue are inclusive of VAT. Prices are subject to change without prior notice. The price applied to each order shall be the one published on the Website at the time the order is submitted; shipping fees and any additional ancillary charges shall be indicated to the Customer prior to order confirmation. Prices are intended Ex-Works (EXW) from our warehouse; therefore, any ancillary costs, including but not limited to the following, shall be borne by the customer:

• Shipping costs
• Insurance costs
• Customs duties.

If the purchase is made from a non-EU country, the applicable sale price will be exempt from VAT, which will therefore be lower than the price displayed in the online catalogue. The customer shall be responsible for paying any taxes applicable in their own country as well as customs clearance duties upon delivery of the goods.

4. Shipping and Transport

Shipments shall be entrusted to carriers selected by Extrema Ratio, unless otherwise agreed. Shipping costs will be charged directly on the invoice. Delivery will be made to the ground floor and during standard business hours, unless otherwise agreed. Upon delivery, the Customer must verify the integrity of the packaging and that the quantity of packages corresponds to the transport document. Any discrepancies or anomalies must be reported to Extrema Ratio within 48 hours via email to its sales department and noted directly on the transport document, accepting the goods "subject to inspection". For Customers acting as consumers, such notification — while useful for managing the claim with the carrier — does not constitute a condition for exercising their legal rights: when the carrier is chosen by Extrema Ratio, the risk of loss of or damage to the goods passes to the consumer only upon physical delivery (Art. 63 of the Italian Consumer Code), without prejudice to the legal warranty of conformity pursuant to Article 8 below.

5. Delivery

Orders received on business days before 12:00 PM will be processed within the same day and handed over to the relevant carrier, subject to payment verification. All other orders will be processed on the following business day. Any collection of goods directly from our warehouse may be carried out provided that at least a 1-hour prior notice is given (via phone call or email to our sales department). Delivery times normally range from 1–2 business days for deliveries within Italy and 3–5 business days for international deliveries, starting from the date the order is dispatched.

6. Payment Methods

Payment can be made via Bank Transfer, credit card, Satispay, or Google Pay. The PayPal network is also available, allowing payments through a standard PayPal account, by credit card, or via instalments using their buy-now-pay-later service.

7. Right of Withdrawal

Pursuant to Article 52 et seq. of the Italian Consumer Code, a Customer acting as a consumer has the right to withdraw from a distance contract, without any penalty and without stating a reason, within 14 days from the day on which the Consumer, or a third party designated by the Consumer other than the carrier, acquires physical possession of the products (in the case of multiple goods ordered in a single order but delivered separately, from the day on which the last product is delivered).

To exercise the right of withdrawal, the Customer may: (i) use the online withdrawal function available on the Website pursuant to Article 54-bis of the Italian Consumer Code (for instructions, please see the "Returns and Repairs" section); (ii) send an explicit declaration via email to [email protected], optionally using the model withdrawal form set out in Annex I, Part B of the Italian Consumer Code. In the event that the withdrawal is exercised through the Website, Extrema Ratio shall send the Customer an acknowledgement of receipt of such withdrawal via email without undue delay, indicating the date and time of transmission.

The right of withdrawal may also be exercised in respect of only one or some of the products purchased under the same order; however, it must apply to the product in its entirety, as it is not possible to return only parts or components of a single product.

The Customer must return the products without undue delay and in any event within 14 days from the date the withdrawal was communicated, in accordance with the instructions in the "Returns and Repairs" section. The direct costs of returning the goods shall be borne by the Customer; the return shipment remains under the Customer's responsibility until receipt is certified at our warehouse.

The Customer shall only be liable for any diminished value of the goods resulting from handling them other than what is necessary to establish their nature, characteristics, and functioning (Art. 57 of the Italian Consumer Code); opening the packaging for such purposes does not affect the right of withdrawal or the right to a refund. Extrema Ratio shall refund all payments received, including standard delivery costs (excluding supplementary costs resulting from the Customer's choice of a type of delivery other than the least expensive type of standard delivery offered by Extrema Ratio), without undue delay and in any event within 14 days from the day on which it is informed of the Customer's decision to withdraw, using the same means of payment as the Customer used for the initial transaction, unless otherwise agreed; the refund may be withheld until the goods are received back or until the Customer supplies evidence of having sent back the goods, whichever is the earliest (Art. 56 of the Italian Consumer Code).

Pursuant to Article 59 of the Italian Consumer Code, the right of withdrawal is excluded, inter alia, for the supply of goods made to specifications or clearly personalized (e.g., products manufactured or engraved upon the Customer's specific request). 8. Warranty

All products sold to Customers acting as consumers are covered by the legal warranty of conformity provided for by Article 128 et seq. of the Italian Consumer Code: the seller is liable for any lack of conformity existing at the time of delivery which becomes apparent within two years from that date (Art. 133 of the Italian Consumer Code).

In the event of a lack of conformity, the consumer is entitled, under the conditions laid down by law, to have the goods brought into conformity free of charge by repair or replacement, or, in the cases provided for, to an appropriate reduction of the price or to the termination of the contract (Art. 135-bis et seq. of the Italian Consumer Code).
In addition to the legal warranty of conformity, and without prejudice to the Consumer's statutory rights arising therefrom (Art. 135-quinquies of the Italian Consumer Code):

• All Extrema Ratio knives are covered by a lifetime commercial warranty.
• Sheaths are covered by a 2-year commercial warranty from the date of initial purchase.

The commercial warranty covers defects in workmanship, treatments, or materials that impair the functionality of the product. In such cases, we will intervene, where possible, by restoring the product through repair; if it is not possible to restore the product, we will replace it with a brand-new item. 9. Dispute Resolution and Jurisdiction

For any dispute involving Customers acting as consumers, exclusive and mandatory jurisdiction shall lie with the court of the place of residence or domicile of the consumer, provided it is located within the territory of the Italian State (Art. 66-bis of the Italian Consumer Code). The Consumer may also resort to Alternative Dispute Resolution (ADR) procedures for Consumer disputes pursuant to Article 141 et seq. of the Italian Consumer Code. For any dispute involving Customers who do not qualify as Consumers, the Court of Prato shall have exclusive jurisdiction.
